These Terms and Conditions govern all services provided by Syncro Security & Power Systems Limited (Company Number: [to be inserted]), registered in New Zealand. By engaging our services, you agree to be bound by these terms. Please read them carefully before accepting any quote or commencing work.

Definitions

In these Terms and Conditions, the following definitions apply:

  • "Syncro" means Syncro Security & Power Systems Limited, its directors, employees, and authorised subcontractors.
  • "Client" means the individual, company, or organisation that has engaged Syncro to provide services.
  • "Services" means any electrical, security, data, communications, or associated works provided by Syncro.
  • "Quote" means a written estimate provided by Syncro outlining the scope and cost of proposed Services.
  • "Works" means the physical installation, commissioning, or maintenance activities carried out on site.
  • "Variations" means any changes to the agreed scope of Works requested by the Client or required due to unforeseen site conditions.

Services

Syncro provides electrical contracting, security system installation, access control, structured cabling, data and communications infrastructure, and associated maintenance services throughout New Zealand.

All electrical works are carried out by or under the direct supervision of a Licensed Electrical Inspector (LEI) and comply with the New Zealand Electrical Code of Practice (NZECP), the Electricity (Safety) Regulations 2010, and all applicable Standards.

All security-related works are carried out by personnel holding current Certificate of Approval (COA) under the Private Security Personnel and Private Investigators Act 2010, where required.

Syncro reserves the right to decline any engagement that would require work outside our licensing scope or that presents an unacceptable health and safety risk.

Quotes & Pricing

All Quotes provided by Syncro are valid for 30 days from the date of issue unless otherwise stated. After expiry, pricing may be subject to revision based on current material and labour costs.

Quote Acceptance

A Quote is accepted when the Client provides written confirmation (email is acceptable) or signs and returns the Quote document. Work will not commence until acceptance is received.

Exclusions

Unless expressly included in the Quote, the following are excluded from all pricing:

  • Asbestos identification, remediation, or removal
  • Structural, building, or civil works
  • Consent and inspection fees charged by third parties or local authorities
  • Costs arising from latent or concealed site conditions not reasonably foreseeable at the time of quoting
  • Traffic management plans or temporary power arrangements

GST is not included in Quotes unless expressly stated. All invoices will include GST at the prevailing rate.

Payment Terms

Unless otherwise agreed in writing, the following payment terms apply:

  • Invoices are due within 20th of the month following invoice date
  • Deposits of up to 40% may be required prior to commencement on larger projects
  • Progress payments may be required on projects exceeding $10,000
  • Final payment is due prior to or on the day of system commissioning

Late Payment

Syncro reserves the right to charge interest on overdue amounts at a rate of 2.5% per month compounding, and to suspend or withhold services (including warranty support) until outstanding balances are settled.

Retention of Title

All materials and equipment supplied by Syncro remain the property of Syncro until payment in full has been received, notwithstanding installation or affixation to any property.

Variations

Any changes to the agreed scope of Works must be authorised in writing by the Client before Syncro proceeds. Variations may affect both the contract price and the completion date.

Where site conditions reveal work not reasonably foreseeable at the time of quoting (e.g., corroded wiring, non-compliant existing infrastructure, or concealed obstructions), Syncro will notify the Client promptly and provide a Variation Quote before proceeding.

Verbal instructions to vary Works will not be binding on Syncro unless subsequently confirmed in writing.

Liability

To the maximum extent permitted by law, Syncro's liability in connection with any Services is limited to the cost of re-performing the relevant Services or refunding the amount paid for those Services.

Syncro is not liable for:

  • Any indirect, consequential, or economic loss
  • Loss of business, revenue, profit, data, or goodwill
  • Damage caused by third-party actions or pre-existing defects not disclosed to Syncro
  • Events beyond Syncro's reasonable control (force majeure), including natural disasters, supply chain disruptions, or regulatory changes

Nothing in these Terms limits liability that cannot be excluded under the Consumer Guarantees Act 1993, Fair Trading Act 1986, or any other applicable New Zealand legislation where the Client is a consumer.

Warranty

Workmanship

Syncro warrants all installation workmanship for a period of 12 months from the date of practical completion. This warranty covers defects arising from faulty installation and does not apply to damage caused by misuse, modification, or third-party interference.

Equipment & Materials

Equipment and materials are covered by the manufacturer's warranty. Syncro will assist in facilitating warranty claims with manufacturers but is not responsible for manufacturer defects beyond this facilitation role.

Warranty Exclusions

  • Systems that have been tampered with or modified without Syncro's consent
  • Damage from power surges, water ingress, or environmental conditions outside normal operating parameters
  • Consumable items including batteries, lamps, and fuses

Intellectual Property

All drawings, designs, system configurations, schematics, and documentation produced by Syncro remain the intellectual property of Syncro unless otherwise agreed in writing. The Client is granted a non-exclusive licence to use these materials solely for the purpose for which they were created.

The Client must not reproduce, share, or use Syncro's documentation for any purpose beyond the agreed project without prior written consent.

Privacy

Syncro collects and holds personal information in accordance with the Privacy Act 2020. Information is collected for the purpose of providing services, issuing invoices, and maintaining contact with Clients.

Syncro will not sell, share, or disclose Client information to third parties except where required to deliver the agreed Services (e.g., subcontractors) or where required by law.

Clients have the right to request access to, and correction of, any personal information held by Syncro.

Termination

Either party may terminate an engagement by providing 10 business days' written notice. In the event of termination by the Client, Syncro is entitled to payment for all work completed to date, plus reasonable costs for materials ordered or committed.

Syncro may immediately suspend or terminate Services without notice if:

  • The Client fails to make payment when due
  • The site presents an immediate health and safety risk
  • The Client acts in a manner that is abusive, threatening, or unlawful

Disputes

In the event of a dispute, both parties agree to first attempt resolution through good faith negotiation. If resolution is not achieved within 20 business days, either party may refer the matter to mediation through an agreed mediator or the New Zealand Dispute Resolution Centre.

For construction contracts, the Construction Contracts Act 2002 provides a statutory adjudication process which either party may invoke at any time.

Governing Law

These Terms and Conditions are governed by the laws of New Zealand. Both parties submit to the non-exclusive jurisdiction of the New Zealand courts.

If any provision of these Terms is held to be unenforceable, the remaining provisions continue in full force and effect.
